Thats my guess, at least thats what happened to me. And I got the exact same thing you did.
Sun Ce, The Devil of Arispotle.
The Sexiest beast alive.
A living Legend.
Alpha and the Omega
&
King of the Universe
"So in a few moments Sun Ce had disposed of two enemies, one crushed to death and one frightened to death. Thereafter Sun Ce was called the Little Prince.!"

timings and volatages for your ram?

some of the high voltage low latency memory can give problems with old bios revisions.

so if you have a friend close who can lend you a stick of ram thats more standard try that. (standard spec ddr2 would be 1.8v 4-4-4-15 kinda thing)

also if its boot related, does that board have the jmicron ide bridge thing? might need to set something in there.

also (might sound daft..) not got a floppy only set for boot and then not got a floppy drive installed?

(done that before by mistake without know.. took a while to figure it out lol)
DOOMSDAY CAME =( =(

Memory can partial fail and continue to read as correct in the bios...it's only when it is in use (by windows for example) that you know for sure if it is fine.

Use one stick to avoid incompatible issues for now,
Also have you checked your power supply unit is good enough to support the new parts....Lack of voltage to the processor makes all unstable. ( you did remember to put the little four pin plug in ? ) :p

Also make sure the CPU cooler unit is seated fully or the processor will get too hot...and again become unstable, If it is too hot the motherboard will shut the system down for you, but if it is 'slightly' over temperature you get an unstable system.

One point worth elaborating....ONLY FLASH THE BIOS IF YOU HAVE THE CASH TO REPLACE THE BOARD !!! :o .
Experience is essential.....Wisdom is priceless.

Your mobo manufacturer may have a downloadable utility to build you a bootable floppy disk to update the bios though thats last resort stuff. (plus you would need a second PC and a floppy drive more than likely :p )

To be honest I think one or more of your components (prolly RAM) is borked or you didn't install something(s) right. Make sure to RTFB it properly. :D

Night
If you have a soundcard, try booting without it as there can be a conflict.
Changing slots on add on cards might also do the trick, but my first guess will be soundcard issues.
Good luck old friend

edit: that's what I had when I rebuilt my last pc. got the "Stop 0x0000007B" error
had to drop the newest creative Xfi card to get the darn thing to boot :(

google and download 'memtest'. make a bootable floppy (or CD) with the other pc and use it to test the memory. it is a great test tool and it works under linux, so you have a chance that is starts. If the memory has something wrong it will show you.

memtest takes forever, use that as the last resort.
One way of approaching the problem that is often adviced is, pull out everything that isn't needed for the startup - just the bare minimum and start adding the hardware one piece at the time. This would be next to last resort hehe
